Terms & Conditions of Sale

These General Terms and Conditions of Sale (“Terms”) govern all B2B commercial transactions between ArganForest (the “Seller,” “we,” “us”), managed from our European headquarters in Portugal, and the professional buyer (the “Buyer” or “Client”). By requesting a quote (Pro Forma Invoice) or placing an order, the Buyer accepts these Terms in full.

1. Company Information

ArganForest operates under a dual-location model to ensure authenticity and reliability.
Sourcing Origin: Kingdom of Morocco.
Management & Administrative HQ: Rua do Pinheiro 82, 4050-483 Porto, Portugal.
Nature of Business: Wholesale supply of organic oils, cosmetic bases, and private label manufacturing.

2. Orders and Contract Formation

  • Quotation: All sales begin with a request for a quote. We will issue a Pro Forma Invoice detailing product specifications, volume, pricing, and estimated lead times.
  • Validity: Quotes are valid for 15 days unless otherwise stated, due to market fluctuations in raw material costs.
  • Confirmation: The contract is formed solely upon the Buyer’s signature of the Pro Forma Invoice and receipt of the agreed deposit.

3. Pricing and Payment Terms

  • Currency: Prices are quoted in Euros (€) or USD ($) as agreed.
  • Payment Structure: A deposit (typically 50%) is required to initiate production. The remaining balance is due prior to shipment (Ex-Works) or release of Bill of Lading, depending on agreed terms.
  • Taxes: For EU intra-community trade, VAT is 0% provided a valid VAT number is supplied. For exports outside the EU, the Buyer is responsible for all local import duties and taxes.

4. Production and Quality Assurance

We guarantee the quality of our products as follows:

  • Certification: We supply USDA and EcoCert certified organic oils where specified.
  • Traceability: Every batch is accompanied by a Certificate of Analysis (COA) and MSDS. The Buyer acknowledges that natural products may vary slightly in color or viscosity between batches due to harvest conditions.
  • Private Label: For custom formulations, the Buyer is responsible for approving final samples before bulk production begins.

5. Shipping and Delivery (Incoterms)

  • Logistics: We manage global logistics via sea or air freight.
  • Incoterms: Unless otherwise agreed, standard terms are EXW (Ex Works) or FOB (Free on Board). We can arrange CIF (Cost, Insurance, Freight) or DAP (Delivered at Place) upon request.
  • Risk of Loss: Risk passes to the Buyer once the goods have been delivered to the carrier (FOB) or made available at our facility (EXW), in accordance with Incoterms 2020.

6. Returns and Claims

Due to the nature of bulk cosmetic ingredients and private label goods:

  • No Returns for Convenience: We do not accept returns for change of mind or market unsold inventory.
  • Quality Claims: The Buyer must inspect goods immediately upon arrival. Claims regarding damage or quality deviations must be made in writing within 7 days of delivery, supported by photographic evidence and independent lab results if contesting our COA.

7. Governing Law and Jurisdiction

As an EU-managed entity, these Terms shall be governed by and construed in accordance with the laws of Portugal. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Porto, Portugal.
